What are No-Contest Clauses in California Trusts?

No-contest clauses, also known as “in terrorem” clauses, are provisions within a trust or will designed to discourage beneficiaries from challenging the document’s validity. They essentially state that if a beneficiary initiates a legal challenge to the trust and loses, they will forfeit their inheritance. However, California law significantly restricts the enforceability of these clauses.

Under current California law, Probate Code § 21310: “…under current California law, ‘No-Contest’ clauses are strictly construed. A beneficiary will not be disinherited for challenging a trust if they have ‘probable cause’ to believe the trust was forged, revoked, or created under undue influence.”

This means simply suspecting wrongdoing isn’t enough. You must have a legitimate basis to believe the trust is invalid. This can include evidence of fraud, forgery, undue influence (where someone pressured your loved one into changing the trust), lack of capacity (if your loved one wasn’t mentally competent when they signed the amendment), or improper execution of the trust documents.

What Constitutes “Probable Cause”?

Probable cause doesn’t mean you have to win your case upfront. It simply means you have enough evidence to justify a reasonable person in bringing the challenge. This can include suspicious circumstances surrounding the trust amendment, a sudden and unexplained change in your loved one’s estate plan, or evidence that a caregiver or financial advisor exerted excessive control over your loved one.

As a CPA, I often see red flags that are missed by others. A sudden shift in asset allocation, particularly if it benefits a caregiver or advisor, is a major indicator. Valuation issues can also point to fraud; for example, if assets were transferred at significantly below market value to a trusted party, it warrants investigation. Furthermore, the step-up in basis and potential capital gains implications when assets are transferred – or not transferred – can be crucial evidence in determining undue influence or fraudulent activity.

What Happens If I Challenge the Trust and Lose?

If you challenge the trust and the court determines you didn’t have probable cause, the no-contest clause may be enforced, and you could lose your inheritance. However, the court still retains discretion. They may choose not to enforce the clause if they believe it’s unfair or unjust.

What if an Asset is Missing from the Trust?

It’s not uncommon to discover an asset wasn’t properly titled in the name of the trust. The Heggstad Petition (Probate Code § 850): “…if a beneficiary discovers an asset (like a house or account) was listed on the trust schedule but never formally retitled, they can petition the court under Section 850 to confirm it as a trust asset, avoiding a separate probate proceeding for that item.”

Failing to properly fund the trust is a common mistake.

The path through California probate is rarely a straight line; it requires precise adherence to statutory deadlines, accurate asset characterization, and strict fiduciary compliance.   This is the most critical statute for beneficiaries. Once a trustee serves this formal notice, you have exactly 120 days to file a contest. If you miss this deadline, you are generally forever barred from challenging the validity of the trust, regardless of the evidence you have.

  Trustees have a mandatory legal duty to keep beneficiaries “reasonably informed” about the trust and its administration. Under Probate Code § 16062, most trustees must provide a formal financial accounting at least once a year. If they refuse, the court can compel them to do so.
• Inheriting Real Estate (Prop 19): California State Board of Equalization (Prop 19)
  Beneficiaries must understand that inheriting a home no longer guarantees low property taxes. Under Prop 19, to avoid reassessment to current market value, the child must make the home their primary residence within one year of the parent’s death.
• No-Contest Clause Enforceability: California Probate Code § 21311
  Fear of disinheritance often stops beneficiaries from fighting for their rights. However, this statute clarifies that a No-Contest clause is only enforceable if the contest is brought without “probable cause.” If you have a reasonable basis for your claim, your inheritance is likely safe.
